research purpose only. They are not to be used for drug or diagnostic purposes nor are they intended for human use.
Cellogenetics products may not be resold, modified for resale, or otherwise transferred to third parties without explicit
written consent from Cellogenetics, Inc.
All purchases of Cellogenetics' products and services are final. Purchasers should read carefully the Terms and
Conditions specified herein before making any purchase. Any payment should be construed as evidence of purchaser's
acceptance of these terms and conditions.
Orders of “Gene Tool” products will be shipped within 5 business days. The shipment will be made Monday through
Thursday via express service.
Cellogenetics warrants that all DNA constructs sold meet the description stated on the accompanying technical
specification sheet. Cellogenetics agrees to replace free of charge any item that does not conform to the stated
description, provided that the purchaser show reasonable proof of such discrepancy.
Purchase of custom shRNA design and construction service amounts to an automatic entrance into a contract service
agreement. Under this agreement, Cellogenetics provides, on the fee for service basis, the intellectual thought process
of designing the shRNA target sequence, and the molecular cloning and quality control guarantee of the shRNA
expression clone to the purchaser. The purchaser agrees to the terms and conditions described herein, and assumes the
responsibility of normal usage of the shRNA products. The purchaser indemnifies Cellogenetics, Inc. to any damage,
harm, or intellectual property right claims as result of any intended or unintended use of the custom construction
products.
Cellogenetics' Service Guarantee applies to any purchase of three shRNA constructs for each target gene to be
designed and constructed by Cellogenetics. We guarantee that at least one of the three shRNA constructs will generate
70% percent “knock-down” or higher efficiency over the target protein or mRNA as either tested individually or
collectively in a pool in transfection experiments. The "knock-down" efficiency is defined as percentage reduction in
expression level of target protein or mRNA produced from a co-transfected cDNA plasmid in the above experiment using
either protein assay, or functional reporter assay, or RNA assay. In the event that none of the three constructs surpasses
the 70% "knock-down" efficiency, Cellogenetics agrees to re-design and construct additional shRNA expression
constructs for the same target gene free of charge. For this guarantee, Cellogenetics reserves the right to be shown
reasonable "proof of failure", which can be the results from any of the above assays and the combination thereof.
Purchase of custom cDNA clone construction or mutagenesis service amounts to an automatic entrance into a contract
service agreement. Under this agreement, Cellogenetics provides, on the fee for service basis, the intellectual thought
process of designing the cDNA expression clone, and the molecular cloning and quality control guarantee of the cDNA
expression clone to the purchaser. The purchaser agrees to the terms and conditions described herein, and assumes the
responsibility of normal usage of the cDNA clone products. The purchaser indemnifies Cellogenetics, Inc. to any
damage, harm, or intellectual property right claims as result of any intended or unintended use of the custom
construction products.
"Gene Service" orders for custom cDNA clone construction or mutagenesis are guaranteed to meet the requested
specification. In case of sequence error(s) inadvertently introduced during the cloning procedures, Cellogenetics
agrees to re-make such clone free of charge for a replacement, provided that the said error(s) is not a precondition
inherent to the starting material, nor a postcondition arising from DNA propagation, and that Cellogenetics is shown a
reasonable proof showing such error(s).
"Gene Service" orders for custom cDNA clone construction and custom design and construction of shRNA expression
vectors are generally to be completed within 15 business days, and the finished constructs shipped as glycerol stocks by
express mail service. However, while Cellogenetics makes every effort to fulfill this promise of shipment within 15
business days, Cellogenetics is not under any contractual obligation to make such shipment by the end of the 15th
business day. No penalty or compensation shall be applied for any shipment made beyond the 15th business day.
In case of purchasing error or change of order after the order has been shipped, a written authorization must be obtained
before returning of such items. Cellogenetics, Inc charges a 20% restocking fee for unopened items that are authorized
to return. All shipping expense is to be paid by the purchaser.
Prices are quoted in US dollars. All invoice should be paid in Net 30 term. Cellogenetics, Inc. will charge a 5%
handling fee per month for any late payment.
Shipping charges are prepaid and added to the invoice. Domestic and international shipping fee may vary without prior
notice.
